1. Eligibility

You must be aged eighteen (18) or over to join music-mate.com and to use the Service provided by this Website. Membership is invalid where prohibited. By using this Website you represent and warrant that you have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement as determined by music-mate.com .

2. Membership and Subscription

Membership is offered either as a standard or premier membership. Standard membership is free and entitles the member to limited use of the facilities on the Website (please see the 'About Us' section for more details). Premier membership allows unlimited use of the Website's facilties and requires the user to subscribe to music-mate.com and pay monthly fees of £10. All fees are payable in advance. We can change the monthly subscription fees for the Service at any time upon reasonable notice of any changes given before their implementation. You reserve the right to terminate your membership if you are unhappy with any subscription fee changes by writing to us.

3. Term

The terms and conditions of this Agreement will remain in full force and effect while you are a member and/or use the Website. Under the United Kingdom Consumer Protection (Distance Selling) Regulations 2000 you can postpone commencement of the Service until the seven day cooling off period has expired. However, if you elect to become a member and enter the Website you are choosing to commence the Service with immediate effect and therefore waive the right to cancel the Service under said Regulations.

4. Termination

You may terminate your membership at any time by writing to us. However, any subscription will continue to run for the remainder of the subscribed period. music-mate.com may terminate your membership and access to the Service if you breach the terms and conditions of this Agreement, or for any other reason, effective upon sending notice to you at the email address you provide in your application for membership or such other email address that you may later provide to us. If we terminate your membership because you have breached this Agreement you will not be entitled to any refund of unused subscription fees.

5. Use of Service

This Service is for the personal use of individual Members of music-mate.com only and may not be used in connection with any commercial endeavours. Organisations, companies and/or businesses may not become members and should not use the Service for any purpose. Illegal and/or unauthorised use of the Website will be investigated and appropriate legal action taken. This includes collecting usernames and/or email addresses of members by any means and for any purpose, and any unauthorised framing or linking to the Website.

6. Content Posted on the Website

(a) music-mate.com reserves the right to review and delete any Content (including photo's, profiles and/or personal email addresses) that in its sole judgement violates this Agreement or which might be offensive, illegal or threaten the rights or safety of Members.

(b) You are solely responsible for the Content that you publish or display (post) on the Website or transmit to other members.

(c) By posting Content in the public domain of music-mate.com you automatically grant, and you represent and warrant, that you have the right to grant to music-mate.com an irrevocable, on-going, non-exclusive, fully paid, worldwide license to use, copy, perform, display and distribute such information and content, and to prepare derivative forms of, or incorporate into other forms, such information and content, and to grant and authorise sublicenses of the foregoing.

(d) music-mate.com has the right to investigate and terminate Membership, and to take appropriate legal action if, at its sole discretion, a member misuses the Service, violates the terms of this Agreement, or behaves in a manner considered illegal or inappropriate to the Service. music-mate.com prohibits the following types of content and conduct:

• The harassment, or advocating of harassment, of any other person

• Any information that is offensive to the online community, such as that which expresses or promotes racism, bigotry, hatred or physical harm to any individual or group

• Any statements that purport to be endorsed by music-mate.com

• The transmission of ‘junk mail', ‘chain letters', or any other unsolicited mass mailing or ‘spamming'

• The displaying or transmission of pornographic or sexually explicit material of any kind

• Any information displayed or transmitted that exploits people under the age of eighteen in any manner, or seeks to solicit personal information from or about anyone under eighteen

• Any information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libellous.

• The displaying or transmission of any illegal or unauthorised copy of another person's copyrighted work, including information on accessing such material

• Any information that contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page)

• Any content that provides instructional information about illegal activities such as buying or making illegal weapons, violating someone's privacy, or providing or creating computer viruses

• Any conduct that solicits passwords or personal identification information for commercial or unlawful purposes from other users

• Any content or conduct designed for commercial use and/or gain without our prior written consent, such as contests, sweepstakes, barter, advertising and pyramid schemes

(e) You must use the Service in a manner consistent with any and all applicable laws and regulations

(f) music-mate.com does not allow Members to include in their profiles any personal contact information such as telephone numbers, street addresses, last names, URLs or email addresses. Members are also prohibited from engaging in advertising to, or solicitation of, other members to buy or sell any products or services through the Service.

(g) Whilst music-mate.com is not able to monitor the conduct of Members outside of this Website, it is also a violation of this Agreement to use any information obtained from this Service in order to harass, abuse or harm another person, or in order to contact, advertise, solicit or sell to our Members without their prior explicit consent. music-mate.com reserves the right to restrict the number of emails that a Member may send to other Members in any 24 hour period, at its sole discretion, to a number deemed appropriate.

7. Privacy

Use of the Website and/or the Service is also governed by our Privacy Policy. If you are located outside of the United Kingdom please note that the information you provide is sent to the United Kingdom . As a Member of music-mate.com you consent to your information being sent to the United Kingdom and to other third parties as may be involved in the provision and operation of the service.

8. Member Disputes

As a Member of music-mate.com you are solely responsible for your interactions with other Members of this Service. music-mate.com reserves the right, without obligation, to monitor disputes between you and other Members.

9. Proprietary Information

music-mate.com owns and retains all proprietary rights in this Website and the Service. The Website contains the copyrighted material, trademarks and other proprietary information of music-mate.com . Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

10. Limitation on Liability

(a) If music-mate.com is in breach of the arrangements under this Agreement, we will not be liable or responsible for any losses that you, or any third person, suffer as a result.

(b) In the absence of any negligence or other breach of duty by music-mate.com , Members use the Website and the Service entirely at their own risk.

(c) music-mate.com will not be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits arising from your use of the Website or the Service. music-mate.com's liability to you for any cause whatsoever and regardless of the form of action, will at all times be limited to the amount paid, if any, by you to music-mate.com for the Service during the term of membership.

(d) music-mate.com will not be liable for any sort (including liability for negligence) for the acts or omissions of providers of telecommunication services or for faults in or failures of their networks and/or equipment.

11. Disclaimers

(a) music-mate.com is not responsible for any inaccurate or incorrect Content posted on the Website or in connection with the Service. You acknowledge that any reliance upon such Content, including Member profile, advice, statement or information, is at your own risk.

(b) music-mate.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorised access to, or alteration of, Member communications, including injury or damage to Members or to any other person's computer related to, or resulting from, participating or downloading materials in connection with the Web and/or this Service.

(c) This Website and the Service are provided on an “as-is” basis. music-mate.com cannot guarantee and does not promise any specific results from the use of this Website and/or the Service. We make no warranties, guarantees or representations as to the quality or fitness for a particular purpose of the Service, except that we will operate the Website for the Service with reasonable skill and care of an online Service provider.

(d) Under no circumstances will music-mate.com be responsible for the conduct of any person using this Website and/or the Service, whether online or offline.

12. Modifications to this Agreement

Members will be deemed to have accepted any alterations and/or amendments if as a Member you continue to use the Service after the relevant period of notice has expired.

13. Our Responsibilities

music-mate.com will endeavour to provide a quality Service. If we need to temporarily suspend the Service for operational reasons we promise to restore the Service as soon as possible. music-mate.com reserves the right to make changes to the Service and will not be held liable if we are unable to deliver our responsibilities due to circumstances beyond our reasonable control.

14. Dispute Resolution

music-mate.com will try to solve any disagreements with speed and efficiency. If you are unhappy with the way we deal with any disagreement and you wish to take court proceedings, English Law governs this contract and you must do so within the United Kingdom .
